ICDM, MICG merged to strengthen corporate governance ecosystem

KUALA LUMPUR: The Institute of Corporate Directors Malaysia (ICDM) and the Malaysian Institute of Corporate Governance (MICG) have announced the consolidation of their mandates, bringing together nearly three decades of corporate governance advocacy and director professionalisation under a single platform.

The merger aims to strengthen Malaysia’s corporate governance ecosystem by unifying the expertise of both organisations in governance standards and board leadership development.

Under the consolidation, ICDM will continue MICG’s legacy work in governance advocacy, education, research and capability development while reducing fragmentation in the country’s governance landscape.

ICDM Chairperson, Tan Sri Datuk Seri Zarinah Anwar, said the move comes at a time when boards face increasing disruption and scrutiny.

“In a time of disruption and intense scrutiny, the role of boards demands more than oversight – it requires vision, agility and a deep commitment to long-term value creation,” she said in a statement today.

She said the unified platform would combine MICG’s advocacy work with ICDM’s efforts to professionalise directorship and improve board effectiveness, creating a catalyst for innovation and thought leadership.

As part of the merger, ICDM will establish a dedicated ‘Centre of Excellence’ to serve as a national platform for governance leadership, research and innovation.

The centre will support organisations across the public and private sectors, including public listed companies (PLCs), small and medium enterprises (SMEs), medium-tier companies (MTCs) and professional associations.

MICG Chairperson, Sujatha Sekhar Naik, described the merger as a strategic transition that will ensure MICG’s longstanding governance mandate continues with greater strength.

She said MICG’s vision of expanding advocacy and independent research on governance challenges would now be advanced through ICDM’s proposed Centre of Excellence.

Meanwhile, ICDM President and Chief Executive Officer, Jackie Mah, said the institute’s priorities are to ensure a smooth integration process while continuing MICG’s existing programmes and advocacy efforts.

He said ICDM would also strengthen corporate governance across all sectors and build long-term capabilities, including through initiatives such as The Board Director Blueprint, which aims to elevate governance standards across the ASEAN region.

MICG’s training portfolio will be transferred to ICDM’s training arm to ensure continuity for participants and members.

The merger of mandates was approved by MICG members during an Extraordinary General Meeting (EGM) on June 24, with the transition process expected to be completed by the fourth quarter of 2026.

As part of the consolidation, MICG will proceed with a members’ voluntary winding-up while its mandate continues under ICDM.
